Terms of Service

1. Acceptance of Terms

By accessing and using Top Barbers University ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.

2. Program Description

Top Barbers University provides a 24-week comprehensive barber business education program that includes:

Educational curriculum and assignments
Fitness and nutrition tracking
Business development tools
Social media content strategy and analytics
Community access and support
Coaching and mentorship

3. Account Registration

To access the Platform, you must:

Provide accurate and complete registration information
Maintain the security of your account credentials
Be at least 18 years of age
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

4. Payment, Subscription & Access

Subscription fees are based on your selected plan tier (Starter, Professional, or Enterprise). By subscribing, you agree to:

Pay all fees associated with your chosen subscription plan on a recurring basis
Provide valid payment information and keep it current
Accept that fees are billed in advance and are non-refundable except as required by law
Understand that access will be immediately suspended for non-payment or failed payments
Adhere to the usage limits of your plan (maximum students, coaches, features)

Free Trial: New organizations may receive a free trial period as specified during signup. At the end of the trial, your subscription will automatically convert to a paid plan unless canceled. You must provide payment information to start a trial.

Subscription Status & Access: Your access to the Platform is contingent on maintaining an active subscription. If your subscription status is "past_due", "canceled", or "paused", access to the Platform will be restricted or terminated. You are responsible for ensuring payment methods remain valid.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial months.

5. User Conduct & SaaS Usage

You agree not to:

Share your account access with others outside your organization
Copy, distribute, or reproduce program materials or Platform features
Use the Platform for any unlawful purpose
Harass, abuse, or harm other users
Post spam, promotional content, or misleading information
Attempt to access restricted areas of the Platform or other organizations' data
Interfere with the proper functioning of the Platform
Exceed the usage limits of your subscription plan (student/coach limits)
Use the Platform to develop, test, or operate competing coaching platforms
Benchmark, analyze, or audit the Platform for competitive purposes

Data Isolation: Each organization's data is strictly isolated. You may only access data belonging to your organization. Attempting to access another organization's data is a material breach and will result in immediate termination and potential legal action.

6. Intellectual Property & Anti-Duplication

All content provided through the Platform, including but not limited to text, videos, images, curriculum materials, software, source code, design elements, workflows, and business processes, is the exclusive property of Top Barbers University or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Strictly Prohibited Activities:

Reverse engineering, decompiling, or disassembling any part of the Platform
Copying, replicating, or duplicating the Platform's design, functionality, or features
Creating derivative works based on the Platform or its content
Downloading, scraping, or extracting data from the Platform in bulk
Using the Platform as a reference to build competing products or services
Sharing screenshots, recordings, or descriptions of the Platform's internal workings with third parties
Circumventing any technical measures used to protect the Platform

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your organization's internal coaching and educational purposes during your active subscription period. This license does not include any right to copy, modify, distribute, sell, or create derivative works.

Violation of these intellectual property provisions may result in immediate termination of your account and legal action, including claims for statutory damages, injunctive relief, and attorney's fees.

7. User Content

By posting content (including photos, videos, comments, or other materials) on the Platform, you grant Top Barbers University a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform. You represent that you own or have the necessary rights to any content you post.

8. Third-Party Integrations

The Platform may integrate with third-party services including TikTok, Instagram, and payment processors. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

9. Program Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Platform or program content at any time. We will make reasonable efforts to notify you of significant changes that may affect your participation.

10. No Guarantees

While we provide education and tools to help you succeed in your barber business, we make no guarantees regarding your income, client acquisition, or business success. Your results will depend on your effort, skill, market conditions, and other factors beyond our control.

11. Termination

We may terminate or suspend your access to the Platform at any time, without prior notice, for:

Violation of these Terms of Service
Non-payment of fees
Fraudulent or illegal activity
Abuse or harassment of staff or other students

You may cancel your enrollment by contacting support, subject to the refund policy in effect at the time of your enrollment.

12. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOP BARBERS UNIVERSITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Top Barbers University, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Top Barbers University operates, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of that jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and Top Barbers University regarding your use of the Platform and supersede all prior agreements and understandings.
